Agreement to Our Legal Terms
We are Leon Moldenhauer, doing business as Corely ("Corely", "Company", "we", "us", or "our"). We operate the website https://www.corely.gg, as well as related products, services, applications, bots, dashboards, integrations, and tools that refer or link to these Terms of Service (collectively, the "Services").
These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Corely concerning your access to and use of the Services.
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

1. Our Services
Corely provides digital infrastructure, automation tools, Discord-related systems, dashboards, community management features, moderation tools, analytics, verification systems, support workflows, and other software-based services.
The Services are not intended for use in any jurisdiction where such use would be contrary to applicable law or regulation. Users accessing the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
2. Intellectual Property Rights
Unless otherwise stated, we own or license all intellectual property rights in the Services, including software, source code, databases, functionality, website design, text, graphics, logos, trademarks, service marks, and content.
You may access and use the Services solely for your personal or internal business purposes, subject to these Terms. You may not copy, reproduce, distribute, sell, license, modify, reverse engineer, or create derivative works from any part of the Services without our prior written permission.

By using the Services, you represent and warrant that:

We reserve the right to remove, reclaim, or change a username, server connection, or account identifier if we determine that it is inappropriate, misleading, inactive, or otherwise objectionable.

Some Services may be offered on a subscription basis. Subscriptions may renew automatically unless canceled before the renewal date.
You are responsible for canceling subscriptions in time if you do not wish to renew. Failure to pay subscription fees may result in suspension or termination of access to paid features.
7. Prohibited Activities
You agree not to:
- use the Services for unlawful, harmful, abusive, or fraudulent purposes;
- attempt to bypass security, rate limits, permissions, or access restrictions;
- interfere with the operation, integrity, or security of the Services;
- upload or transmit malware, spam, harmful code, or abusive content;
- harass, threaten, exploit, or harm other users;
- misrepresent your identity or affiliation;
- use the Services to violate Discord’s terms, policies, or community guidelines;
- copy, scrape, resell, or commercially exploit the Services without permission.
8. User Generated Content
The Services may allow users to submit, upload, configure, transmit, or display content, including server settings, messages, profile data, automation rules, moderation logs, support tickets, and other materials.
You are solely responsible for any content or configuration you create, submit, or manage through the Services. You confirm that you have all necessary rights and permissions to use such content.
9. Contribution License
By submitting feedback, suggestions, ideas, or other contributions, you grant Corely a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display such contributions for improving, operating, and promoting the Services.
You agree that we may use feedback or suggestions without compensation or obligation to you.
10. Third-Party Services
The Services may integrate with, depend on, or link to third-party platforms, providers, APIs, payment processors, hosting services, authentication providers, analytics tools, and communication services.
We are not responsible for the availability, accuracy, security, policies, content, or functionality of any third-party service. Your use of third-party services may be subject to separate terms and policies.
11. Discord Platform Dependency
Corely may rely on Discord and Discord-related APIs. We do not control Discord, its infrastructure, policies, rate limits, permissions, outages, API changes, feature changes, account restrictions, server restrictions, or enforcement decisions.
We are not responsible for disruptions, limitations, data loss, permission changes, bot restrictions, unavailable features, or service interruptions caused by Discord or other external platforms.
12. Service Management
We reserve the right, but not the obligation, to monitor, manage, restrict, suspend, or remove access to the Services for operational, security, legal, technical, or abuse-prevention reasons.
We may take action against accounts, servers, configurations, or usage patterns that violate these Terms or create risk for Corely, other users, or third-party platforms.
13. Privacy Policy
We care about data privacy and security. Please review our Privacy Policy, which explains how we collect, use, store, and protect personal data.
By using the Services, you agree to be bound by our Privacy Policy. If you access the Services from the European Economic Area or other regions with data protection laws, additional rights may apply under applicable privacy laws.
14. Term and Termination
These Terms remain in full force while you use the Services. We may suspend or terminate your access at any time, with or without notice, if we determine that you violated these Terms, misused the Services, created security risks, failed to pay applicable fees, or harmed Corely, users, or third parties.
Upon termination, your right to use the Services will immediately cease. Certain provisions, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law, will survive termination.
15. Modifications and Interruptions
We reserve the right to modify, update, suspend, discontinue, or remove any part of the Services at any time without liability. We may also update these Terms from time to time.
We will make reasonable efforts to notify users of material changes, for example by updating the date of these Terms, posting a notice, sending an email, or providing an in-service notification.
16. Governing Law
These Terms are governed by and interpreted in accordance with the laws of Austria, without regard to conflict of law principles.
If you are a consumer residing in the European Union, you may also benefit from mandatory consumer protection rules applicable in your country of residence.
17. Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting each other and working in good faith toward a reasonable solution.
Unless mandatory law provides otherwise, disputes arising from or relating to these Terms or the Services shall be handled by the competent courts in Austria.
18. Corrections
The Services may contain typographical errors, inaccuracies, omissions, or outdated information, including descriptions, pricing, availability, features, or technical details. We reserve the right to correct errors and update information at any time without prior notice.
19. Disclaimer
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Corely disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, reliability, availability, accuracy, and security.
We do not guarantee that the Services will be uninterrupted, error-free, secure, compatible with all systems, or free from harmful components.
20. Limitations of Liability
To the fullest extent permitted by applicable law, Corely shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses.
This applies whether damages arise from your use of the Services, inability to use the Services, unauthorized access, service interruptions, third-party actions, user configurations, automated actions, or any errors or omissions in the Services.
21. Indemnification
You agree to defend, indemnify, and hold harmless Corely, including its owner, contractors, partners, service providers, and affiliates, from and against any claims, damages, liabilities, losses, costs, or expenses arising from:
- your use of the Services;
- your violation of these Terms;
- your violation of any law or third-party rights;
- your user-generated content or configurations;
- your misuse of automation, moderation, verification, or community-management features.
22. User Data
We may store and process certain data necessary to operate the Services, such as account data, server identifiers, configuration data, logs, subscription information, and technical information.
You are responsible for maintaining your own backups where appropriate. We are not liable for loss, corruption, or deletion of data unless required by applicable law.
23. Electronic Communications
By using the Services, sending emails, creating accounts, accepting these Terms, or interacting with our website or dashboard, you consent to receive electronic communications from us.
You agree that electronic communications, agreements, notices, disclosures, and other communications satisfy any legal requirement that such communications be in writing.
24. Acceptable Use and Termination
Corely reserves the right to suspend or terminate access to the Services at any time, without prior notice, for conduct that we believe violates these Terms, harms other users, creates security risks, violates third-party platform rules, or negatively impacts the integrity, security, reputation, or functionality of the Services.
25. Service Availability
We aim to provide reliable Services, but we do not guarantee permanent availability, uninterrupted operation, or error-free performance. Maintenance, updates, outages, API changes, third-party failures, hosting issues, security incidents, or force majeure events may affect availability.
26. Miscellaneous
These Terms, together with any policies or documents referenced herein, constitute the entire agreement between you and Corely regarding the Services.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or business transfer.
